CoOpNavigator Terms of Service
Effective date: [EFFECTIVE DATE]
These Terms of Service ("Terms") are a binding agreement between [LEGAL BUSINESS NAME] ("CoOpNavigator," "we," "us," or "our") and you. They govern your use of the CoOpNavigator website at https://coopnavigator.com and the related software, applications, and services (together, the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you accept these Terms on behalf of a homeschool co-op, microschool, or other organization (a "School"), you represent that you have authority to bind that School, and "you" includes the School.
1. Who May Use the Service
1.1 Eligibility. You must be at least 18 years old and able to form a binding contract to create a School account or to act as an administrator, teacher, or parent/guardian user. Children do not have accounts and do not log in. Information about children is entered by the School, its teachers, or parents/guardians, as described in Section 8.
1.2 Not for prohibited persons. You may not use the Service if you are barred from doing so under applicable law or if we have previously suspended or terminated your account.
2. Accounts and Roles
2.1 Roles. The Service supports different user roles, including School administrators ("Admins"), teachers, and parents/guardians. Students appear as profiles managed by the School and parents; they do not have logins. Each role has different permissions.
2.2 Admin responsibility. The School and its Admins are solely responsible for: (a) deciding who is invited to the School's account; (b) assigning roles and permissions, including any elevated permissions an Admin grants to other users; (c) the actions of every user they invite or authorize; (d) promptly removing access for users who should no longer have it; and (e) the accuracy and lawfulness of all information entered into the Service for the School. We are not responsible for any loss or harm caused by permissions an Admin grants or fails to revoke.
2.3 Account security. You must provide accurate information, keep your login credentials confidential, and notify us promptly at [CONTACT EMAIL] of any unauthorized use. You are responsible for all activity under your account. We are not liable for losses caused by unauthorized use of your credentials.
3. Plans
3.1 Paid plans. The Service is offered on the following subscription plans (prices in U.S. dollars, before applicable taxes):
| Plan | Monthly price |
|---|---|
| Starter | $15 / month |
| Standard | $25 / month |
| Pro | $79 / month |
3.2 Prepaid terms. You may prepay for a longer term at a discount: 1 year prepaid receives 15% off the equivalent monthly price; 2 or 3 years prepaid receives 20% off the equivalent monthly price.
3.3 Plan features and limits. Features and usage limits for each plan are described on our pricing page and may change as described in Section 4.4.
3.4 Possible free tier. We may, at our sole discretion, offer a free tier, trial, or promotional plan. Any free offering may be limited, changed, or discontinued at any time without notice, and is provided without any warranty or support obligation.
4. Billing and Payment
4.1 Payment before access. Fees are charged in advance. Access to paid features begins only after payment for the applicable period has been successfully processed.
4.2 Automatic renewal. Monthly, 1-year, and multi-year (2–3 year) plans renew automatically for the same period length at the then-current price unless you cancel before the end of the current period. You authorize us and our payment processor to charge your payment method on file at each renewal. For annual and multi-year prepaid plans, we will email the account Admin a renewal reminder at least [30] days before the renewal date, stating the renewal date and price and how to cancel. You can cancel online at any time as described in Section 5.1.
4.3 No refunds. All fees are non-refundable, including for partial periods, unused time, downgrades, unused features, or early cancellation, except where a refund is required by law.
4.4 Price changes. We may change our prices or plan features. We will give at least 30 days' notice of a price increase by email to the account Admin or in the Service. Price changes take effect at your next renewal after the notice period. If you do not agree, you may cancel before the renewal.
4.5 Failed payments. If a payment fails, we will notify the Admin and may retry the charge. You will have a grace period of [14] days (matching our payment processor's automatic retry schedule) to update your payment method. If payment is not received by the end of the grace period, we may suspend or downgrade the School's account until payment is made, and the account may be treated as ended under Section 5.
4.6 Taxes. Fees exclude taxes. You are responsible for all applicable sales, use, VAT, and similar taxes, other than taxes on our income.
4.7 Payment processor. Subscription payments are processed by Stripe, Inc. ("Stripe"). By paying, you also agree to Stripe's applicable terms. We do not store full card numbers.
5. Cancellation, End of Service, and Data Deletion
5.1 Cancellation. An Admin may cancel the School's subscription at any time online from the Billing page in the Service (Admin → Billing), which opens our payment processor's (Stripe's) secure billing portal. Cancellation stops future renewals; it does not trigger a refund.
5.2 End of access. Access ends when your paid period ends. Data may be permanently deleted at any time after that and will be deleted within 90 days. We don't guarantee it can be recovered. Data is removed from our live systems first; encrypted database backups roll off on a rolling schedule of no more than [30] days, so that all copies are gone within 90 days after the end of your paid period.
5.3 Locked after end date. After the end of the paid period (including after any failed-payment grace period), the School's account is locked and users will no longer be able to access it.
5.4 Reactivation. If a School pays again before its data has been deleted, we may, at our sole discretion, restore the account and its data. We have no obligation to restore any account or data.
5.5 Export is your responsibility. While your plan is active, Admins can export the School's data at any time from the Service as a ZIP file of CSV spreadsheets (for example, the co-op, people, and students), and parents can export their family's data as CSV or JSON. We will send export reminder emails to the School's Admin(s) before the end date, but you are solely responsible for exporting any data you wish to keep before your paid period ends. Failure to receive or read a reminder does not extend your access or our retention.
5.6 Records we keep. After deletion, we retain only records we are required to keep by law or for legitimate legal, tax, accounting, fraud-prevention, or dispute purposes, such as payment and transaction records held by us or by Stripe.
6. School Content
6.1 Ownership. As between you and us, the School owns all information, files, and content that the School and its users submit to the Service ("School Content").
6.2 License to us. You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, and display School Content solely as needed to provide, secure, maintain, and improve the Service, to comply with law, and as described in our Privacy Policy.
6.3 Support access. Authorized CoOpNavigator personnel (our platform administrators) can open any School's account and data, but do so only as needed for support, security, billing, legal compliance, or at the School's request. This access is limited by role and is recorded in an audit log.
6.4 Your responsibility. You represent that you have all rights, consents, and permissions needed to submit School Content and to allow us to process it as described in these Terms, and that School Content does not violate any law or third-party right.
6.5 Aggregated data. We may create and use de-identified or aggregated data that does not identify any School, user, or child, for analytics and to improve the Service.
6.6 Feedback. If you send us suggestions or feedback, we may use it freely without any obligation to you.
7. Our Intellectual Property
The Service, including its software, design, text, graphics, and trademarks, is owned by [LEGAL BUSINESS NAME] or its licensors and is protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your School's internal purposes during your paid period. All rights not expressly granted are reserved.
8. Children's Data, COPPA, and FERPA
8.1 School is responsible for consent. The Service may be used to store information about children, including children under 13. The School is solely responsible for obtaining all parental or guardian consents and providing all notices required by law before entering any child's information into the Service or allowing any child to use it.
8.2 COPPA. To the extent the Children's Online Privacy Protection Act ("COPPA") applies, the School acts on behalf of parents and authorizes the collection of children's personal information solely for the educational use of the School and for no other commercial purpose. The School represents that it has obtained, or will obtain, any verifiable parental consent COPPA requires, and will provide parents, on request, a description of the information collected and the opportunity to review or delete it and refuse further collection.
8.3 FERPA. To the extent the Family Educational Rights and Privacy Act ("FERPA") applies to the School, we act as a "school official" with a "legitimate educational interest" under the School's direct control regarding the use and maintenance of education records, and we use such records only to provide the Service to the School. The School remains responsible for its own FERPA compliance, including annual notifications and handling parent requests.
8.4 Service provider. We process student and child data as a service provider to and on behalf of the School. We do not sell personal information, do not use student data for targeted advertising, and do not build profiles of students other than as needed to provide the Service to the School.
8.5 Requests. Requests from parents or students to access, correct, or delete a child's information should be directed to the School. We will assist the School with such requests as reasonably required by law.
9. Payments Between Families and Schools
9.1 The Service may allow Schools to collect dues, tuition, fees, or other payments from families. These payments are processed by Stripe. To accept card payments through the Service, the School must connect its own Stripe account and agree to the Stripe Services Agreement and Stripe Connected Account Agreement, which are between the School and Stripe.
9.2 Those payments are solely between the family and the School. We are not a party to them, are not a payment processor, money transmitter, or escrow agent, and are not responsible for the amount, timing, refund, collection, or tax treatment of any such payment.
9.3 We are not part of any fee, refund, or chargeback dispute between a family and a School, and we have no obligation to mediate or resolve such disputes. Families should contact their School directly.
10. Acceptable Use
You agree not to, and not to allow any user to:
- violate any law or any third party's rights, including privacy and intellectual property rights;
- upload unlawful, harassing, abusive, defamatory, obscene, or harmful content, or any content that exploits or endangers children;
- enter children's information without the consents required by law;
- upload malware, or probe, scan, attack, or disrupt the Service or its security;
- access the Service by automated means (scraping, bots) except through features we provide;
- reverse engineer, copy, resell, sublicense, or build a competing product from the Service;
- share accounts, circumvent plan limits, or impersonate any person;
- send spam or unsolicited messages through the Service.
11. Suspension and Termination
11.1 By us. We may suspend, restrict, or terminate any account or user, with or without notice, if we believe in good faith that you have violated these Terms, failed to pay, created risk or legal exposure for us or others, or if required by law. We may also discontinue the Service or any feature at any time.
11.2 Effect. On termination, your right to use the Service ends, and Section 5 governs your data. If we discontinue the Service entirely, or terminate your account for convenience (not for your breach or non-payment), we will refund, pro rata, any prepaid fees for the unused portion of your prepaid term.
11.3 Survival. Sections that by their nature should survive termination will survive, including Sections 4.3, 5, 6.2–6.6, 7, 9, and 12–19.
12. Third-Party Services
The Service relies on and may link to third-party services (such as Stripe, email delivery, hosting, and analytics providers). We are not responsible for third-party services, and your use of them may be subject to their terms.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING. WE DO NOT GUARANTEE ANY LEVEL OF UPTIME OR AVAILABILITY, AND WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DATA WILL NOT BE LOST. YOU ARE RESPONSIBLE FOR KEEPING YOUR OWN BACKUPS. The Service is an administrative tool and does not provide legal, educational-compliance, tax, or financial advice.
14. Limitation of Liability
14.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL [LEGAL BUSINESS NAME] OR ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, HOWEVER CAUSED, EVEN IF ADVISED OF THEIR POSSIBILITY.
14.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR $0 IF YOU USED ONLY A FREE OFFERING).
14.3 Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
The School (and each Admin acting for it) will defend, indemnify, and hold harmless [LEGAL BUSINESS NAME] and its owners, officers, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) School Content; (b) the School's or its users' use of the Service; (c) any failure to obtain parental consent or provide required notices, or any violation of COPPA, FERPA, or other privacy law by the School; (d) payments, fees, or disputes between the School and families; (e) permissions granted by Admins; or (f) any breach of these Terms or violation of law by the School or its users.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify Admins by email and/or by notice in the Service at least [30] days before they take effect, except where changes are required by law or address security, in which case they may take effect immediately. We will update the "Effective date" above. Continued use of the Service after changes take effect means you accept them. If you do not agree, you must stop using the Service and cancel.
17. Dispute Resolution, Binding Arbitration, and Class-Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
17.1 Informal resolution. Before filing any claim, you agree to contact us at [CONTACT EMAIL] with a written description of the dispute and try in good faith to resolve it for at least 30 days.
17.2 Binding arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its applicable rules, rather than in court. The arbitration will take place in [GOVERNING STATE] or virtually, and judgment on the award may be entered in any court with jurisdiction. The Federal Arbitration Act governs this Section.
17.3 Class-action waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any representative proceeding. If this class-action waiver is found unenforceable, the entirety of this Section 17 (other than this sentence) will be void as to that claim.
17.4 Small-claims exception. Either party may bring an individual claim in small-claims court if it qualifies and stays there.
17.5 Other exceptions. Either party may seek injunctive or equitable relief in court to protect its intellectual property or to stop unauthorized use or abuse of the Service.
17.6 30-day opt-out. You may opt out of this arbitration agreement by emailing [CONTACT EMAIL] within 30 days after you first accept these Terms, with the subject "Arbitration Opt-Out" and your name, School name, and account email. Opting out does not affect any other part of these Terms.
17.7 Time limit. To the extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.
18. Governing Law and Venue
These Terms are governed by the laws of the State of [GOVERNING STATE], without regard to conflict-of-law rules. Subject to Section 17, the exclusive venue for any court proceeding will be the state or federal courts located in [GOVERNING STATE], and you consent to their personal jurisdiction.
19. General
These Terms, together with the Privacy Policy and any order or plan details, are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. Notices to you may be sent to the email address on your account; notices to us must be sent to [CONTACT EMAIL].
